Wholesale Terms and Conditions

TERMS OF SALE

a. Qualifying Retailers: Wholesale orders and pricing are exclusively available to retail partners with either a physical storefront or a strong e-commerce presence dedicated to resale purposes. Supplier reserves the right to determine which Retailers meet these qualifications.

b. Wholesale Discount: All Products are sold at a 50% wholesale discount off the Manufacturer’s Suggested Retail Price (MSRP).

c. Minimum Order: The minimum wholesale order is $150, excluding shipping costs.

d. Payment Terms:

• Initial Order: Full payment is required at the time of order placement.
• Future Orders: Retailer may apply for Net 30 payment terms after the initial order. Approval for Net 30 terms is at Supplier’s discretion.
• Accepted Payment Methods: Visa, MasterCard, Discover, American Express, PayPal, Venmo, or approved business checks.

e. Shipping:

• First Order Promotion: Retailer’s first order and additional orders placed up to three months from the first order’s order date qualify for free shipping. After promotional period, regular shipping policies apply.
• Retailer is responsible for all shipping costs.
• All orders will be shipped via USPS Ground Advantage to comply with federal regulations for transporting perfume products.
• Standard fulfillment time is 5-7 business days. Large or custom orders may require additional processing time.

f. Returns:

• First Order Promotion: Retailer’s first order qualifies for free returns. Returns must be made within 30 days of the delivery date. All additional orders are subject to the regular return policies.
• No returns are accepted, except for the free returns provided under the First Order Promotion. Any claims for damages, missing items, or incorrect shipments must be reported to wholesale@fairytalefragranceco.com within 7 days of delivery.

MARKETING SUPPORT

Retailer may purchase marketing materials, such as testers or display equipment, at half the wholesale price. These items do not apply to the minimum wholesale order.

INTELLECTUAL PROPERTY AND CONFIDENTIALITY

a. Intellectual Property: All trademarks, product designs, packaging, branding, and marketing materials remain the exclusive property of Supplier. Retailer may not modify or create derivative works based on Supplier’s intellectual property without prior written consent.

b. Confidentiality: Retailer agrees to maintain the confidentiality of Supplier’s wholesale pricing, terms, and any other proprietary business information provided under this Agreement. This obligation extends beyond the termination of this Agreement.
